Terms of Service

These Terms of Service govern your access to and use of the DealNest Cart online store, operated under the DealNest brand, including purchases made through the store.

By visiting the store, creating an account, submitting an order or using any part of our services, you agree to these Terms of Service.

1. Eligibility

You must be at least the age of majority in your state, province or country of residence to make a purchase.

When you allow a minor to use a device to access the store, you are responsible for supervising that use.

You may not use our store or products for unlawful, fraudulent or unauthorized purposes.

2. Store Services

Our store is hosted using Shopify’s ecommerce platform.

We may update, suspend, restrict or discontinue any part of the store when reasonably necessary, subject to any obligations relating to orders already accepted.

3. Product Information

We make reasonable efforts to display product descriptions, specifications, dimensions, colors, photographs and other information accurately.

However:

• Colors may appear differently depending on the screen or device.
• Product packaging may differ from website images.
• Measurements may be approximate.
• Manufacturers may update product details without prior notice.
• Minor variations may occur between production batches.

A variation that materially changes the identity, function or advertised nature of a product will be handled under our Return and Refund Policy and applicable law.

4. Product Availability

Products and quantities are subject to availability.

Adding an item to a cart does not reserve inventory. We may limit quantities, discontinue products or cancel unavailable items.

When an item becomes unavailable after payment, we may:

• Offer an alternative.
• Offer a revised delivery estimate.
• Cancel the affected item.
• Issue an applicable refund.

We will not substitute a materially different product without obtaining the customer’s agreement.

5. Prices and Taxes

Prices are displayed in the currency shown on the store.

Prices may change without notice, but changes will not normally affect an order that has already been accepted, except when required to correct an obvious error or comply with law.

Applicable taxes, shipping costs, duties or other charges will be displayed during checkout when reasonably available.

Customers are responsible for any import duties or taxes that are clearly disclosed as their responsibility before purchase.

6. Orders and Order Acceptance

Submitting an order is an offer to purchase the selected products.

An automated order-confirmation message confirms that we received the order but does not necessarily mean that the order has been finally accepted.

An order is accepted when we:

• Confirm fulfillment or shipment.
• Otherwise communicate acceptance.
• Begin providing the ordered product or service.

We may reject or cancel an order for legitimate reasons, including:

• Product unavailability.
• Pricing or listing errors.
• Payment failure.
• Suspected fraud.
• Unauthorized account activity.
• Shipping restrictions.
• Quantity limitations.
• Legal or regulatory requirements.

When we cancel a paid order, we will issue the applicable refund to the original payment method.

7. Customer Information

You agree to provide accurate, complete and current:

• Name.
• Billing information.
• Shipping address.
• Email address.
• Telephone number.
• Payment information.

You are responsible for reviewing all order details before submitting payment.

We are not responsible for delays or additional expenses caused by inaccurate information supplied by the customer, except where the error results from our systems or actions.

8. Payment

You authorize us and our payment providers to charge the total amount shown at checkout.

Payment processing is subject to the terms and fraud-prevention procedures of the applicable payment provider.

We may request additional verification before accepting or fulfilling an order.

9. Shipping and Delivery

Shipping and delivery are governed by our Shipping Policy.

Delivery dates are estimates unless expressly stated as guaranteed. Orders may be shipped in separate packages or from different fulfillment locations.

When we cannot ship within an applicable promised period, we will provide the notices and options required by applicable law.

10. Returns, Refunds and Cancellations

Returns, refunds, exchanges and cancellations are governed by our Return and Refund Policy.

Eligible cancellation requests must be submitted within one hour after the order is placed and before fulfillment begins.

11. Promotions and Discount Codes

Promotions, discounts and coupon codes:

• May have separate eligibility conditions.
• May be limited to specific products, dates or customers.
• Cannot be combined unless expressly permitted.
• Have no cash value.
• May be withdrawn or corrected when affected by fraud, abuse or an obvious technical error.

Refunds for discounted purchases will not exceed the amount actually paid for the returned item.

12. Accounts and Passwords

When customer accounts are available, you are responsible for:

• Protecting account credentials.
• Restricting access to your account.
• Keeping account information current.
• Notifying us promptly of suspected unauthorized activity.

We may suspend or restrict an account when reasonably necessary to protect the customer, the store or other users.

13. Reviews, Feedback and User Content

When you submit a review, image, comment, suggestion or other content, you confirm that:

• You own the content or have permission to submit it.
• The content is truthful to the best of your knowledge.
• The content does not infringe third-party rights.
• The content is not unlawful, abusive, fraudulent or misleading.

You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, adapt and distribute submitted content in connection with operating and promoting DealNest.

We may remove content that violates these Terms or applicable law.

We will not knowingly misrepresent customer reviews or condition publication of a review on it being positive.

14. Intellectual Property

The store and its original content, including branding, text, graphics, layouts, logos and design elements, are owned by or licensed to DealNest and are protected by applicable intellectual-property laws.

You may not copy, reproduce, distribute, modify, publish, sell or commercially exploit protected content without prior written authorization.

Third-party product names, trademarks and images belong to their respective owners.

15. Prohibited Uses

You may not use the store to:

• Violate any law or regulation.
• Commit fraud or impersonate another person.
• Infringe intellectual-property or privacy rights.
• Submit malicious code.
• Interfere with store security or functionality.
• Scrape or harvest information without authorization.
• Place fraudulent orders.
• Use stolen payment information.
• Harass or harm another person.
• Circumvent purchase or geographic restrictions.
• Resell access to the store or its services without authorization.

We may restrict access or cancel orders associated with prohibited activity.

16. Third-Party Tools and Links

The store may provide access to services operated by third parties, including payment providers, social-media services, analytics tools, carriers and external websites.

Third-party services are governed by their own terms and policies. DealNest is not responsible for third-party content or conduct outside our reasonable control.

17. Errors and Omissions

Occasionally, the store may contain typographical errors, inaccurate product information, incorrect prices or incomplete availability information.

We may correct errors and update information. When an error materially affects an order, we will contact the customer and provide an appropriate option, which may include confirming the corrected terms or canceling the affected item for a refund.

18. Disclaimer of Warranties

To the maximum extent permitted by law, the store and its services are provided on an “as available” basis.

We do not guarantee that the website will always be uninterrupted, secure or error-free.

Products remain subject to any express manufacturer warranties and mandatory consumer guarantees that cannot legally be excluded.

Nothing in these Terms excludes warranties, rights or remedies that cannot be excluded under applicable law.

19. Limitation of Liability

To the maximum extent permitted by law, DealNest will not be liable for indirect, incidental, special, punitive or consequential losses arising from use of the store or products.

Where liability cannot legally be excluded, our liability will be limited only to the extent permitted by applicable law.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct or other non-waivable obligations.

20. Indemnification

To the extent permitted by law, you agree to indemnify DealNest from third-party claims arising directly from:

• Your unlawful use of the store.
• Your material breach of these Terms.
• Your infringement of another party’s rights.
• Fraudulent activity conducted through your account.

This section does not require a consumer to indemnify DealNest for DealNest’s own unlawful conduct or negligence where such indemnification would be prohibited.

21. Severability

When any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

The affected provision will be enforced to the maximum extent legally permitted.

22. No Waiver

A delay or failure to enforce any provision does not waive the right to enforce that provision later.

23. Termination

You may stop using the store at any time.

We may suspend or terminate access when a user materially violates these Terms, engages in fraud or threatens the security of the store.

Termination does not eliminate payment obligations or rights that arose before termination.

24. Governing Law

These Terms are governed by the laws applicable in the Commonwealth of Massachusetts and the United States, without limiting any mandatory consumer rights available in the customer’s place of residence.

25. Changes to These Terms

We may update these Terms from time to time.

Changes will be posted with a revised “Last updated” date. Changes will not retroactively alter completed transactions unless required by law or agreed by the customer.
